Proposed Special Resolution: BCCPAC AGM 2025 – Member Oversight Committee

Be it resolved that the BCCPAC Bylaws be amended to include the following new section Part 8: Member Oversight
Committee:
Member Oversight Committee
8.1 The Member Oversight Committee (MOC) monitors and ensures Board compliance with membership resolutions,
transparency in governance, and adherence to the BCCPAC Constitution and Bylaws. The MOC shall act as an
independent oversight body on behalf of BCCPAC Membership.
8.2 MOC Composition
(a) The MOC shall be composed of five (5) representatives elected by the membership from among current PAC
executive and DPAC executive members.
(b) No current BCCPAC Board members may serve on the MOC.
(c) MOC members shall serve staggered two-year terms to ensure continuity.
(d) Elections for the MOC shall be held annually at the BCCPAC Summit.
(e) Only persons nominated with approval of their member Parent Advisory Council or District Parent Advisory Council
will be eligible to be elected to the MOC. Nomination for the MOC will follow the process outlined in the BCCPAC
Nominations Policy 2590.
8.3 Responsibilities.
The MOC shall:
(a) Review the Board’s actions related to the implementation of membership resolutions and report findings to the
membership at the AGM and the Summit.
(b) Request documentation and explanations from the Board regarding delays or failures in resolution implementation.
(c) Issue formal non-compliance notices to the Board and recommend corrective actions if membership resolutions are
not implemented within the required timeframe.
(d) Present reports at all General Meetings regarding Board adherence to membership resolutions, ensuring
transparency and accountability.
(e) Shall submit a request for an Extraordinary General Meeting (EGM) if the Board is found to be in persistent non-
compliance with membership directives.
(f) The MOC shall follow BCCPAC policies and code of conduct.
8.4 Authority and Reporting
(a) The MOC shall have the authority to bring non-compliance issues before the membership at any General Meeting,
where corrective actions—including potential Board sanctions or removals—may be considered, by following the section
of the bylaws – Removal of Board Members by Members.
(b) The MOC shall provide written compliance reports to the membership at least twice per year.
(c) The Board must respond in writing within 30 days to any MOC requests or compliance reports, outlining steps taken
to implement outstanding resolutions.

8.5 Independence from the Board
(a) The MOC shall operate independently of the Board and may not be dissolved, overridden, or restricted by the Board
without a special resolution of the membership.
(b) The Board may not interfere with the MOC’s investigative or reporting processes.
8.6 Removal of Member Oversight Committee Members
(a) The membership may, by special resolution, remove a member of the MOC before the expiration of a term of office.
Be it further resolved that all subsequent bylaws be re-numbered accordingly.

Proposer’s Positioning Statement: The establishment of the Member Oversight Committee (MOC) is an important step
toward strengthening BCCPAC’s accountability to its membership. Over multiple years, the Board has faced challenges in
fully delivering on membership-passed resolutions that call for increased transparency, regular advocacy updates, and
consistent follow-through on key priorities identified by PACs and DPACs across the province.
Resolutions passed at Annual General Meetings reflect the priorities and concerns of BC parents and caregivers, yet
many remain unresolved, with limited updates or clear progress reports. Without a structured mechanism to track
implementation, some advocacy efforts and policy directives have not been fully realized, leading to uncertainty around
their status and impact.
The MOC is being established to enhance oversight and ensure greater accountability in how resolutions are actioned.
By introducing structured reporting, clear timelines, and a transparent follow-up process, the MOC will help strengthen
the connection between membership decisions and organizational actions, ensuring that advocacy efforts remain
aligned with the priorities set by PACs and DPACs.
